Terms of Sale

These terms apply to every wholesale order placed with Kolotrail, LLC, a Georgia limited liability company ("Kolotrail", "we"), through kolotrail.com or by email. By applying for a dealer account or placing an order, your business ("you") agrees to them. If we change these terms, the new version applies to orders placed after the date above.

1. Dealer accounts

  • We sell only to approved bike shops buying for resale. We approve, limit or close accounts at our discretion.
  • Keep access to your account's email address secure; anyone who can open sign-in links sent there can order on your account.
  • To buy without paying sales tax, give us a valid resale or exemption certificate (for Georgia shops, form ST-5) and tell us if it changes.

2. Orders and prices

  • Prices are wholesale prices in US dollars, as shown in the dealer portal when you order. Some products have a minimum order quantity.
  • Suggested retail prices (MSRP) are suggestions only. You set your own retail prices.
  • An order is accepted when we confirm or ship it. If a price or availability error slips through, we may cancel the affected items and refund anything you paid for them.

3. Payment

  • Card or bank payment at checkout is the default. Payments are processed by Stripe; we never see your full card number.
  • Net 30. Accounts we approve for credit may be invoiced instead, with payment due 30 days after the invoice date, up to the credit limit we set. We may change or withdraw credit terms at any time for future orders.
  • Accounts more than 15 days past due are put on hold: no new orders or shipments until paid. Past-due balances may be charged a late fee of 1.5% per month, or the maximum allowed by law if lower.
  • Restock subscriptions are billed at the start of each period at the price shown when you subscribed, on the same terms as your account (card or Net 30). Cancel any time from "Manage billing"; the cancellation takes effect at the end of the current period.
  • We collect sales tax where required unless a valid resale or exemption certificate is on file.

4. Shipping

  • We ship within the United States only, from North Georgia by UPS or USPS Ground, usually within 2 business days.
  • Shipping is free on orders of $250 or more (wholesale value) and a $12 flat rate below that. Restock subscription shipments always ship free. The shipping charge is shown at checkout.
  • We carry the risk of loss until delivery. Report damaged, missing or wrong items within 5 business days of delivery, with photos, and we'll replace them and handle any carrier claim.

5. Returns

  • Our mistake or a defect: tell us within 30 days of delivery. We pay return shipping and send a replacement or give full credit.
  • Unsold stock: unused items in their original packaging may be returned within 60 days of delivery with a return authorization from wholesale@kolotrail.com. Returns carry a 15% restocking fee, you pay return shipping, and the refund is issued as store credit.
  • We can't accept installed or used parts, discontinued items, or returns more than 60 days after delivery.

6. Warranty

  • Kolotrail parts are warranted against defects in materials and workmanship for 2 years from the rider's retail purchase. Anodized finishes are warranted for 1 year against peeling or flaking.
  • The warranty doesn't cover installation beyond our published torque specifications, crash or impact damage, modified parts, normal wear, scratches, or finish damage from chemicals.
  • Stem, rotor, caliper and other safety-critical bolts must be installed by a qualified mechanic to the specified torque, with a torque wrench.
  • Claims: the rider brings the part to you; you email wholesale@kolotrail.com with photos and the order number. If the claim is approved we ship a free replacement to your shop or give you credit. We don't refund riders directly or cover labor.
  • This limited warranty is the only warranty we give. To the extent the law allows, we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of liability

To the extent the law allows, our total liability for any claim about a product is limited to the price you paid for that product, and we are not liable for indirect, incidental or consequential damages, including lost profits or labor costs.

8. Using our brand

You may use the Kolotrail name, logo and our product photos to advertise and sell genuine Kolotrail products. Any other use needs our written permission.

9. Governing law

These terms are governed by the laws of the State of Georgia, USA. Any dispute will be resolved in the state or federal courts located in Georgia.
